These Terms and Conditions govern use of wireon-ai.com and services provided by WIREON AI LLC.

By accessing our website, requesting a proposal, purchasing services, signing an agreement, or otherwise engaging WIREON AI LLC, you agree to these Terms.

Services

WIREON AI LLC provides technology and professional services that may include:

  • Custom software development

  • Artificial-intelligence system development

  • AI integration

  • Workflow automation

  • Data engineering

  • Data pipelines and analytics

  • Systems integration

  • Software architecture

  • Technical consulting

  • Software licensing

  • Implementation services

  • Technical training

  • Maintenance and support

The specific scope, deliverables, price, schedule, and responsibilities for each project are stated in a written proposal, Professional Services Agreement, Statement of Work, order form, license agreement, or invoice.

Where a signed agreement conflicts with these website Terms, the signed agreement controls for that engagement.

Project Acceptance

Submitting an inquiry or requesting a proposal does not obligate WIREON AI LLC to accept a project.

An engagement generally begins after:

  1. Project requirements have been reviewed.

  2. A written proposal or Statement of Work has been approved.

  3. Required agreements have been signed.

  4. Any required initial deposit has been received.

  5. Required customer information and system access have been provided.


Project Schedule

Unless otherwise stated in writing, projects are structured for completion within no more than three weeks from the agreed project kickoff date.

The project schedule may be paused or adjusted if completion is delayed by:

  • Customer failure to provide required information

  • Customer delays in feedback or approval

  • Unavailable customer systems or credentials

  • Third-party outages

  • Customer-requested scope changes

  • Security or compliance issues requiring customer action

Such delays do not constitute a failure by WIREON AI LLC to meet the original schedule.

Customer Responsibilities

Customers agree to:

  • Provide accurate project information

  • Designate an authorized point of contact

  • Provide required files, content, credentials, and access

  • Respond promptly to requests for approval or feedback

  • Obtain necessary rights to information supplied to WIREON AI LLC

  • Review delivered work promptly

  • Use services and deliverables lawfully

  • Pay invoices according to the agreed schedule


Fees and Payment

Project pricing is disclosed before work begins.

WIREON AI LLC may bill through:

  • Fixed project fees

  • Initial deposits

  • Milestone payments

  • Consulting fees

  • Licensing fees

  • Training fees

  • Retainers

  • Recurring support plans

  • Usage-based fees

  • Approved third-party expenses

For fixed-fee projects, the initial deposit will not exceed 30% of the total project price.

The remaining balance may be divided among one or more project milestones and final delivery.

Unless otherwise stated in writing, invoices are due within 15 calendar days.

WIREON AI LLC may pause work on overdue accounts after providing reasonable notice.

Scope Changes

Requests that materially change:

  • Features

  • Integrations

  • Technology

  • Deliverables

  • Data requirements

  • Security requirements

  • Design

  • User volume

  • Project objectives

may require a written change order.

A change order may modify pricing, deliverables, or the project schedule.

Delivery

Deliverables are generally provided electronically through methods such as:

  • Secure file transfer

  • Source-code repositories

  • Cloud deployment

  • Customer-controlled infrastructure

  • Secure development environments

  • Email

  • Documentation portals

  • Virtual training

  • Remote implementation sessions

Unless otherwise specifically agreed, WIREON AI LLC does not ship physical products.

Customer Acceptance

Unless a written agreement specifies another period, customers have five business days after delivery to report a material failure to conform to the agreed scope.

A customer objection should clearly identify:

  • The affected deliverable

  • The applicable requirement

  • The expected result

  • The actual result

  • Relevant supporting documentation

Deliverables may be considered accepted when:

  • The customer approves them

  • The customer begins using them commercially

  • The customer places them into production

  • The customer authorizes the next project milestone

  • The five-business-day review period expires without a material written objection

Requests for additional features or functionality outside the approved scope are not considered defects.

Intellectual Property

Unless otherwise agreed in writing:

  • Customers retain ownership of customer-provided data, content, branding, and proprietary materials.

  • WIREON AI LLC retains ownership of pre-existing tools, frameworks, libraries, methodologies, templates, know-how, and reusable components.

  • Ownership rights in custom deliverables transfer only after all related invoices have been paid in full.

  • Open-source and third-party software remain governed by their respective licenses.


Confidentiality

Each party agrees to use reasonable safeguards to protect non-public business, technical, financial, and proprietary information received from the other party.

Confidentiality obligations do not apply to information that:

  • Is already publicly available

  • Was previously lawfully known

  • Is independently developed

  • Is lawfully obtained from another source

  • Must be disclosed by law

Separate nondisclosure agreements may also apply.

AI Services

Artificial-intelligence systems may produce inaccurate, incomplete, inconsistent, outdated, or unexpected output.

Customers are responsible for appropriate human review before relying on AI output.

Unless expressly agreed otherwise, AI-generated output should not be treated as definitive:

  • Legal advice

  • Medical advice

  • Investment advice

  • Accounting advice

  • Credit decisions

  • Insurance decisions

  • Employment decisions

  • Regulatory advice


Third-Party Services

WIREON AI LLC projects may depend on third-party:

  • Cloud platforms

  • AI providers

  • APIs

  • Hosting companies

  • Software vendors

  • Data services

  • Open-source projects

WIREON AI LLC is not responsible for third-party:

  • Outages

  • Pricing changes

  • Policy changes

  • Service discontinuation

  • Account restrictions

  • Security incidents outside our reasonable control


Warranty

WIREON AI LLC will perform professional services in a professional and workmanlike manner.

Except for warranties expressly included in a signed agreement, services and deliverables are provided on an “as is” and “as available” basis to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, WIREON AI LLC will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of revenue, profits, opportunities, business, or data.

Unless prohibited by law or changed by written agreement, WIREON AI LLC’s aggregate liability relating to a specific project will not exceed the amount paid for the services directly giving rise to the claim.

Suspension and Termination

WIREON AI LLC may suspend or terminate services for:

  • Nonpayment

  • Material breach

  • Fraudulent activity

  • Illegal activity

  • Abusive behavior

  • Security threats

  • Material misrepresentation

  • Failure to provide necessary cooperation

  • Conduct that creates unreasonable legal or operational risk

Termination does not eliminate payment obligations for completed work, approved work in progress, or committed third-party expenses.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any legal proceeding relating to these Terms will be brought in an appropriate state or federal court located in Fulton County, Georgia, unless the parties agree otherwise in writing.

Changes

WIREON AI LLC may update these Terms periodically.

The revised version will be posted on the website with an updated effective date.
